Purchase offer template for Poland

Written offer to buy a property · Propozycja nabycia nieruchomości (oferta zakupu)

A signed letter from the buyer to the seller or the agent that states the price, the payment plan, the conditions and a validity date. In Poland it does not bind anyone to sell or buy. It fixes the terms for the preliminary agreement and the notarial deed that follow.

Use it after a viewing, when you want to put your price and conditions in writing before you negotiate the preliminary agreement (umowa przedwstępna). Polish law does not require it. A contract that transfers real estate, or obliges a party to transfer it, is valid only as a notarial deed (Civil Code art. 158 and 73 § 2). A private letter therefore cannot transfer the property or oblige anyone to transfer it. A signed paper that names the property and the price could still be read as a preliminary agreement in ordinary written form, which gives a claim for damages (art. 389 and 390 § 1). This template says expressly that it is neither an offer nor a preliminary agreement, so that nobody treats it as a contract. It still has a legal effect: a party that negotiates in bad faith, for example with no intention to contract, must pay the losses the other party suffered by counting on the contract (art. 72 § 2).

Key facts

Applies to
Whole country
Form of a binding sale
Notarial deed only. A sale of real estate made without it is void (Civil Code art. 158 and 73 § 2).
Effect of this letter
Not binding. The parties are bound only by a preliminary agreement or by the deed of sale.
Preliminary agreement
Ordinary written form gives only damages (art. 390 § 1). A notarial deed also lets a party sue for the final contract (Civil Code art. 390).
Deposit amount
The law sets no amount.
Bad-faith negotiation
The party at fault pays the losses the other party suffered by counting on the contract (Civil Code art. 72 § 2).
Transfer tax (PCC)
2% on the sale of a flat or house not charged with VAT. A VAT-exempt sale still bears it (PCC act art. 2 pkt 4, art. 7 ust. 1 pkt 1 lit. a).
PCC first-home exemption
Each buyer is an individual who never held a flat, a house or a cooperative right to one (PCC act art. 9 pkt 17).
PCC exemption and inherited shares
A buyer who held only an inherited share of up to 50% still qualifies.
Foreign buyers
EEA and Swiss citizens and companies need no permit. Others need one for land and houses unless exempt (act of 24 March 1920, art. 1 and 8).
Flat bought by a foreigner
A separate flat (samodzielny lokal mieszkalny) needs no permit. The border zone has no such exemption.

Delete this clause only if you pay entirely from your own funds.

  5. 5.Conditions

    1. 5.1

  7. 7.Nature of the proposal

    1. 7.1

This proposal is not an offer within the meaning of art. 66 of the Civil Code nor a preliminary agreement, and it does not oblige either party to conclude a contract of sale. Such an obligation can arise only from a preliminary agreement or from a contract of sale made as a notarial deed.

  8. 8.Validity

    1. 8.1

The proposal stands until Date until which the proposal stands. After that date it lapses without any further statement by the Buyer. A reply from the Seller that changes the price or the terms will be treated as a new proposal from the Seller.

  9. 9.Signatures

    1. 9.1

    2. 9.2

I confirm receipt of the proposal and accept its terms as the basis for negotiating the preliminary agreement. Date: Date of the seller's acknowledgement. Signature of the Seller.

This line records the seller's agreement on the terms. It does not bind the seller to sell.

Formalities

  1. No form, witness or notary is required.
  2. Sign and date the letter. Send it by email, by registered letter (list polecony) or through the agent. Keep proof of the date.
  3. Pay no money with it. Pay a deposit only under a signed preliminary agreement that says whether the sum is a zadatek or a zaliczka.
  4. Before you send it, ask the seller or the agent for the land register number. Read the register free of charge at ekw.ms.gov.pl.
  5. If you are not an EEA or Swiss citizen or company, check whether you need a permit from the Minister of the Interior.

Common mistakes

  • Paying a reservation fee or deposit with the letter. It gives no claim to the property. Money paid without a written return agreement can be hard to recover.
  • Treating the seller's countersignature as a sale. Until a preliminary agreement or the deed is signed, the seller can accept a higher offer.
  • Making an offer before you read the land register. Section II shows the owners, section III claims and enforcement, section IV mortgages.
  • Leaving out the loan condition when you need a loan. Repeat it in the preliminary agreement, or a refused loan can cost you the deposit.
  • Dealing with only one spouse. A married seller usually needs the other spouse's consent to sell (Family and Guardianship Code art. 37).
  • Describing the property loosely. A parking space or a cellar often has its own land register or is a separate share. Name each item the price covers.
