Purchase offer template for Luxembourg

Offer to purchase · Offre d'achat immobilière

A written, signed offer from the buyer to buy a named property at a stated price, with conditions and an expiry date. Under the Luxembourg Civil Code, an unconditional acceptance by the seller forms the sale on the property and the price. The parties then sign a compromis de vente and later the notarial deed.

Use it after a visit, when you want to buy and want to fix your price and conditions in writing. The law does not require an offer. Send it to the seller or to the estate agent who holds the sale mandate. Make it only if you are ready to buy at that price and on those terms: if the seller accepts it without changes, you are bound.

Reviewed October 28, 2026. Not legal advice. Have a notary or lawyer check your case before you sign.

I offer to buy this property at the price of Offered price in euros, in figures euros (Offered price in words euros), payable when the notarial deed of sale is signed.

Formalities

  1. No form, witness or notary is required. Write the offer, then sign and date it.
  2. Send it by registered letter with acknowledgement of receipt (lettre recommandée avec avis de réception), or hand it to the agent against a dated receipt.
  3. A scanned signature sent by email is not an electronic signature under Luxembourg law. It is weak proof.
  4. Keep proof of the date the seller received the offer. Do not rely on a verbal agreement.
  5. The seller accepts by signing the offer without changes.
  6. Pay no money with the offer.
  7. The notary, not the offer, applies for the Bëllegen Akt tax credit, at the deed.

Common mistakes

  • Offering the asking price without conditions when you need a loan. Some Luxembourg lawyers treat the listing as an offer to sell, so the sale may form at once.
  • Treating a seller's reply with a new price or new terms as acceptance. It is a new offer, and nothing is agreed until you accept it.
  • Leaving out the expiry date. The seller can then accept weeks later, when you have moved on.
  • Paying a deposit to the seller or the agent with the offer. Put any deposit in the compromis and pay it into the notary's account.
  • Describing the property loosely. Give the address, type, rooms, floor, cadastral parcel if known, co-ownership lot numbers, parking, cellar and garden.
  • Forgetting that every owner must accept. If two people own the property, both sign the acceptance.

Legal basis

  • Code civil, art. 1583 (sale complete on agreement on the thing and the price) and art. 1589 (a promise of sale is a sale when both parties agree on the thing and the price)
  • Code civil, art. 1341 (written proof required above an amount set by règlement grand-ducal, fixed at 2,500 euros by the règlement grand-ducal du 1er août 2001)
