Purchase offer template for Belgium

Offer to purchase · Offre d'achat

A written, signed offer from the buyer to buy a named property at a stated price, with a validity date and usually a loan condition. If the seller accepts it in writing without changes, the sale is concluded. The parties then sign a compromis de vente and, later, the notarial deed.

Use it after a visit, when you want to buy and want to state your price and conditions in writing. The law does not require it, but an accepted offer binds you: you cannot withdraw once the seller accepts. Send it to the seller or to the estate agent. For a flat, ask for the co-ownership documents from the syndic before you sign the offer.

Reviewed October 28, 2026. Not legal advice. Have a notary or lawyer check your case before you sign.

Rules that are changing

  • Flanders: on 30 September 2026 the Flemish government proposed that the reduced registration tax for the buyer's only home rise from 2% to 3% for sale agreements signed from 1 January 2027.
  • Flanders: the date of the sale agreement decides the rate, not the deed date. The measure still needs to be enacted in law.

Key facts

Applies to
Whole country. The text is in French and written for the Brussels-Capital Region; the offer rules come from the federal Civil Code and apply in all three regions.
When an offer binds
It must contain all essential terms, at least the property and the price (Civil Code art. 5.19).
Withdrawal by the buyer
Not possible once the seller accepts without changes (Notaire.be).
Validity period
Irrevocable for the period stated in the offer, or for a reasonable period if none is stated (art. 5.19).
Acceptance
The sale forms when the acceptance reaches the buyer (art. 5.21). Changes make it a new offer. Silence is not acceptance (art. 5.20).
Deposit
Usually 5% to 10% of the price, paid at the compromis into the notary's escrow account, never to the seller (Notaire.be).
Co-ownership information
Syndic's documents due before the offer is signed. The statement of debts is due within 30 days (Civil Code art. 3.89, § 5).
Brussels tenant's right of preference
A 9-year main-residence tenant has 30 days from notification to buy at the same price and terms (Brussels Housing Code art. 247/2).

List every buyer, with date of birth.

    2. 1.2

make to Seller's full name, residing at Seller's address, or the agent's address, hereinafter "the seller", a firm offer to buy the property described below, at the following price and on the following terms.

Name every owner. If you do not know the owner, use the agent's details.

  2. 2.Property

    1. 2.1

A property located at Full address of the property, consisting of Description of the property, offered for sale at the asking price of Advertised price euros.

For a flat, give the lot numbers. Describe the property as precisely as the listing allows. An offer that does not identify it binds no one.

    2. 2.2

The buyer declares that he has visited the property and has read the energy performance certificate (PEB) and the planning information stated in the advertisement.

    3. 2.3

      Optional

As the property is a lot in a co-ownership, the buyer declares that he received, before signing this offer, the information and documents listed in article 3.94, § 1, of the Civil Code.

Keep this clause for a flat or any lot in a co-ownership. If you have not received the syndic's documents, ask for them before you sign.

  3. 3.Offered price

    1. 3.1

I offer to buy this property at the price of Offered price in euros, in figures euros (Offered price in words euros). The registration duties, costs and fees of the notarial deed are payable by the buyer and are not included in this price.

Make figures and words match. Budget notary fees and about 12.5% duties in Brussels and Wallonia, less with the Brussels allowance or a reduced regional rate.

  4. 4.Conditions precedent

    1. 4.1

      Optional

This offer is made subject to the condition precedent that the buyer obtains one or more loans for a total of Mortgage loan amount euros, at the normal market rate, within Weeks to obtain the loan weeks of the signature of the sale agreement. If this condition is not met, the sale will be treated as never having existed and no indemnity will be due.

Delete it only if you pay entirely from your own funds. Repeat the same condition in the compromis. 4 weeks is common.

    2. 4.2

      Optional

This offer is also made subject to the following condition precedent: Other condition.

Use it for a risk you cannot check before the offer, such as soil pollution or the legal use of the property. Make the condition objective and checkable.

  5. 5.Sale agreement and notarial deed

    1. 5.1

If the offer is accepted, the parties will sign a sale agreement no later than Latest date for the compromis. At that time the buyer will pay a deposit of Deposit at compromis% of the price into the notary's escrow account, which will count as a part payment when the notarial deed is signed.

This is a promise to pay later. The escrow account protects the deposit if the sale fails or the seller has creditors.

    2. 5.2

The notarial deed of sale will be signed no later than Latest date for the notarial deed. The buyer appoints Maître Buyer's notary as notary. The seller remains free to appoint his own notary.

The deed usually follows within 4 months of the compromis.

    3. 5.3

No sum is paid to the seller in support of this offer.

  6. 6.Validity

    1. 6.1

This offer is valid until Date and time the offer expires. If the seller's written acceptance does not reach the buyer before that date, the offer will lapse automatically.

A few days to two weeks is common. Once the seller has received the offer, you cannot withdraw it before this date.

    2. 6.2

Any acceptance that changes the price or the terms is a rejection of this offer and a new offer from the seller.

  7. 7.Signatures

    1. 7.1

Made at Place of signature, on Date of signature. Signature of the buyer.

    2. 7.2

Seller's acceptance: "Agreed to the above offer, at the stated price and on the stated terms, without reservation", on Date the seller accepts. Signature of the seller.

Every owner must sign. If the property is the seller's family home, the seller's spouse or legal cohabitant must also agree.

Formalities

  1. No form, witness or notary is required.
  2. Sign and date the offer. Keep proof of the date the seller received it: a registered letter, an email with a reply, or a copy the agent signs for receipt.
  3. The seller must accept in writing.
  4. Pay no money to the seller with the offer. The deposit comes later, at the compromis, into the notary's escrow account.
  5. For a lot in a co-ownership, the seller or the agent must give you the syndic's information before you sign the offer (Civil Code art. 3.94).
  6. In Brussels, a home let under a 9-year main-residence lease carries the tenant's right of preference. Any sale is conditional on the tenant not using it.
  7. In Flanders and Wallonia the offer rules are the same. Registration duties and the seller's certificates differ.

Common mistakes

  • Making an offer without a loan condition when you need a loan. If the seller accepts, the sale is concluded and you must pay the price.
  • Leaving out the validity date. Without one, the offer stays irrevocable for a reasonable period, which may be long (art. 5.19).
  • Paying a deposit to the seller or the agent with the offer. Pay nothing until the compromis, and then only into the notary's escrow account.
  • Offering on a flat before you have the syndic's documents: reserve fund, arrears, works voted and the general meeting minutes of the last 3 years.
  • Treating a seller's reply with a new price as an acceptance. It is a counter-offer, and nothing is agreed until you accept it.
  • Negotiating by text message. A message can be used as a start of proof that you made an offer.
  • Ignoring a sitting tenant in Brussels. If the home is let under a 9-year lease, the tenant can buy in your place at the same price.

Legal basis

  • Code civil, Livre 5, art. 5.18 to 5.21 (offer, acceptance and formation of the contract)
  • Code civil, Livre 3, art. 3.94 (information on a co-ownership lot before the offer or the contract)
  • Code bruxellois du Logement, art. 247/1 and 247/2 (tenant's right of preference on the sale of a let home)
