Purchase offer template for Portugal

Offer to purchase a property · Proposta de compra de imóvel

A written, signed offer from the buyer to buy a named property at a stated price, with a deadline for acceptance. Once the seller receives it, the offer binds the buyer until the deadline. Acceptance does not transfer the property: the parties then sign a contrato-promessa (CPCV) and later the deed.

Use it after a visit, when you want to state your price and conditions in writing before the parties negotiate a CPCV. Estate agents often ask for a written offer on their own form. Read that form before you sign it, because it can contain a payment or a penalty. Make the offer only if you are ready to buy at that price: you cannot withdraw it once the seller has received it, until the deadline passes.

Set by the buyer. The offer binds the buyer until the deadline (Código Civil, art. 228(1)(a)).
Withdrawal
Irrevocable once received, unless the offer says otherwise (art. 230(1)). A withdrawal arriving before or with it voids it (art. 230(2)).

The offeror offers to buy the property at the price of Offered price in euros, in figures euros (Offered price in words, in Portuguese euros), free of any charges or encumbrances and vacant of persons and goods.

      Optional

The price will be paid with own funds of Own funds euros and with a mortgage loan of no more than Maximum mortgage amount euros.

Delete both financing clauses only if you pay entirely from your own funds.

    2. 4.2

      Optional

This offer is subject to approval of that loan by Date by which the loan must be approved. If the loan is not approved within that period, the offer and the commitments arising from it lapse, without any penalty for the offeror.

Repeat this condition in the CPCV. Portuguese law does not add a loan condition for you.

  5. 5.Promissory contract and deed

    1. 5.1

If the offer is accepted, the parties will sign a promissory contract of sale by Latest date to sign the CPCV, with the signatures recognised in person, in which the offeror will pay the seller Sinal to pay at the CPCV euros as a deposit (sinal) and part payment of the price.

This is a promise to pay later, at the CPCV. Pay nothing now. The law sets no rate for the sinal. Agree it with the seller.

    2. 5.2

The public deed or the authenticated private document of sale will be signed by Latest date for the deed of sale.

    3. 5.3

This offer is not a promissory contract. The final terms of the transaction will be set out in the promissory contract to be signed by the parties.

  6. 6.Assumptions

    1. 6.1

This offer assumes that the property's land register and tax register situation is in order, that it has a valid energy certificate and, for a unit in a condominium, that there are no debts to the condominium. Before the promissory contract, the seller will give the offeror the land register certificate, the tax register extract and the energy certificate.

These documents let you check ownership, mortgages and attachments before you pay any sinal.

  7. 7.No payment

    1. 7.1

No sum is paid to the seller or to any estate agent with this offer.

  8. 8.Validity

    1. 8.1

This offer is valid until Date and time the offer expires. If the offeror does not receive a written acceptance by that date, the offer lapses automatically.

A few days to two weeks is common. Until this date you cannot withdraw the offer once the seller has received it.

    2. 8.2

Any reply that changes the price or the conditions of this offer is a new offer and not an acceptance.

  9. 9.Signatures

    1. 9.1

Place of signature, Date of signature. Signature of the offeror.

    2. 9.2

Acceptance: the seller declares that it accepts this offer on the terms and conditions stated in it. Place and date of seller's acceptance. Signature of the seller.

Every registered owner must sign. A married seller needs the spouse's consent unless the couple has separation of property, and always for the family home.

Formalities

  1. No form, witness, notary or registration is required. Sign and date the offer.
  2. Deliver it by registered letter with acknowledgement of receipt (carta registada com aviso de receção), by email, or through the agent against a dated receipt.
  3. Keep proof of the date the seller received it.
  4. An accepted offer is not a sale. A sale of real estate is valid only by public deed or authenticated private document.
  5. If both parties sign an offer that holds all the terms of the sale, a court could treat it as a contrato-promessa.
  6. This template avoids that. It says that the parties will sign a separate CPCV.
  7. Pay nothing with the offer. In a promise to buy, the law presumes that any sum the buyer gives the seller is a sinal.
  8. The buyer loses a sinal on default.

Common mistakes

  • Paying a reservation fee or a sinal to the agent or the seller with the offer. Pay the sinal only at the CPCV, after you check the land register certificate.
  • Leaving out the deadline. Without one, the offer stays binding for the normal reply time plus 5 days, and the seller decides when to answer.
  • Making the offer without a loan condition when you need a mortgage. If the seller accepts, you are expected to sign the CPCV on those terms.
  • Treating a reply with a new price as an acceptance. A reply that changes the terms is a new offer, and nothing is agreed until you accept it.
  • Offering before you know who owns the property. Ask for the land register certificate (certidão permanente) and check that the seller is the registered owner.
  • Signing the agent's pre-printed form without reading it. Some forms describe the offer as a promise to buy or add a penalty if you withdraw.

Legal basis

  • Código Civil (Decreto-Lei n.º 47344/66), arts. 227 to 233 (good faith in negotiations, duration and irrevocability of an offer, acceptance with changes)
  • Código Civil, art. 875 (form of the sale of real estate)
  • Código Civil, art. 410 (form of a contrato-promessa)
  • Código Civil, arts. 441 and 442 (presumption of sinal and its effects)
