Offer to buy real property · Pasiūlymas pirkti nekilnojamąjį turtą

The buyer's written offer to the seller: the price, how the buyer will pay, the conditions and how long the offer stands. It does not bind anyone to buy or sell. If the seller agrees, the parties sign a written preliminary agreement and then the notarial deed of sale.

Use it after a viewing to put a clear price proposal on paper, sent to the seller directly or through the seller's agent. It lets the seller compare offers and gives both sides a record of what was proposed. Do not pay any money with it. If you want both sides to be bound before the notary, sign a preliminary agreement (preliminarioji sutartis) instead, because only a written preliminary agreement creates a duty to sign the final deed.

Name each buyer and say if you buy in shares or as joint property of spouses. Without a Lithuanian personal code, give date of birth and passport number.

  2. 2.The property

    1. 2.1

The offer concerns the following real property: Type of property, located at Address of the property, unique No Real Property Register unique number, total area Total area m² (hereinafter the Property), advertised for sale at Asking price EUR.

The unique number identifies the property in the Real Property Register. The notary uses it in the deed.

    2. 2.2

Together with the Property, I ask that the following be transferred: Furniture, appliances, parking included.

  3. 3.Offered price

    1. 3.1

I offer to buy the Property for a price of Offered price in euros, in figures EUR (Offered price in words, in Lithuanian euros); Agent's fee.

Write the price in figures and words, or the offer is unclear.

  4. 4.Financing

    1. 4.1

I will pay the price with own funds of Buyer's own funds EUR and with a loan from a credit institution of no more than Maximum bank loan EUR.

Write 0 as the loan amount for a cash purchase.

    2. 4.2

      Optional

If the Property is bought with a loan, the preliminary agreement will give the Buyer the right to end the agreement and recover the advance paid if the credit institution refuses the loan.

Keep this clause whenever part of the price depends on a loan. Delete it for a cash purchase.

  5. 5.Next steps

    1. 5.1

If the Seller agrees with this offer, the Parties will aim to sign a written preliminary agreement by Deadline for the preliminary agreement, providing for an advance of Proposed advance EUR paid to the Seller's bank account.

Under CK 6.98(2) money paid under a preliminary agreement cannot be earnest money (rankpinigiai). It is an advance (avansas).

    2. 5.2

I propose that the notarial sale contract be signed no later than Proposed latest date for the deed and that the Property be handed over by signing a handover-acceptance act no later than Proposed date to hand over the property. The Parties will pay the notary's and the registration costs as agreed in the preliminary agreement.

This offer and the Seller's agreement to it are neither a sale contract nor a preliminary agreement. They do not oblige either Party to buy or sell the Property. The Parties' obligations will arise only when a written preliminary agreement is signed, and ownership will pass only under a sale contract in notarial form.

Keep this clause. Without it, an accepted offer with all key terms can be argued to be a preliminary agreement.

    2. 6.2

The Buyer pays no money with this offer.

  7. 7.Validity of the offer

    1. 7.1

The offer is valid until Date and time the offer expires. If I do not receive the Seller's written answer by then, the offer lapses.

A short period, such as 3 to 5 days, keeps you free to look at other properties.

  8. 8.Signatures

    1. 8.1

Place of signature, Date of signature. Buyer: (name, surname, signature).

    2. 8.2

      Optional

Seller's answer: I agree with the terms of the offer and wish to prepare the preliminary agreement. Date: Date of the seller's answer. Seller: (name, surname, signature).

The seller may also answer by email. Any change the seller asks for is a counter-offer that you are free to accept or refuse.

Formalities

  1. No form, witness or notary is required.
  2. Sign and date the offer. Send it to the seller or the seller's agent by email or registered mail, and keep proof that it arrived.
  3. The offer lapses when the seller rejects it or does not answer within the period you set (CK 6.170).
  4. Silence is not acceptance (CK 6.173).
  5. Keep the clause saying that the seller's agreement creates neither a sale nor a preliminary agreement.

Common mistakes

  • Paying a reservation fee or an advance with the offer. Pay nothing until a written preliminary agreement states the amount, its purpose and when it comes back.
  • The seller signing "accepted" on a text with all terms and a notary date. It may be a preliminary agreement. Backing out can then cost damages.
  • Leaving out an expiry date. The seller can then accept within a reasonable time, which may be weeks later.
  • Making the offer before you check the Real Property Register extract. Make sure you deal with the registered owner, and note any mortgage or seizure.
  • Offering a price that depends on a bank loan without saying so. State the loan amount and make the later preliminary agreement subject to the loan.
  • Leaving out who pays the agent. Say whether the price includes the agent's fee.

Legal basis

  • Lietuvos Respublikos civilinis kodeksas (Civil Code), Law No VIII-1864 of 18 July 2000, art. 6.163 (good faith in negotiations)
  • Civil Code, art. 6.167 to 6.170 (offer, its effect, withdrawal and end)
  • Civil Code, art. 6.173 to 6.178 (acceptance, period for acceptance, acceptance with changes)
  • Civil Code, art. 6.165 (preliminary agreement)
  • Civil Code, art. 6.393 (notarial form of a sale of real property)
