Preliminary sale agreement template for Lithuania

Preliminary agreement for the sale of real property · Nekilnojamojo turto pirkimo–pardavimo preliminarioji sutartis

A written agreement in which seller and buyer commit to sign the notarial deed of sale by a set date on agreed terms. It needs no notary. It fixes the price, the advance (avansas), the conditions and the penalty. If a party refuses without good reason, the other can claim damages.

Use it once seller and buyer agree on the price and want to commit before the notary, for example while the buyer waits for a bank loan or the seller collects documents. It suits an existing flat, house or plot bought from a private seller. For a home still to be built, the Civil Code requires extra terms, including the buyer's 10-day withdrawal right (CK 6.401): use the developer's draft and have it checked. The remedy for an unjustified refusal is damages (CK 6.165(4)), or the agreed penalty.

  4. 4.Price and payment

    1. 4.1

The price of the Property is Price in euros, in figures EUR (Price in words, in Lithuanian euros). The price does not change unless the Parties agree otherwise in writing.

The Main Contract must state the price, or it is not made (CK 6.397(1)).

    2. 4.2

The price is paid as follows: How and when the rest is paid.

In that case no penalty applies, and the Seller refunds the whole advance within Working days to refund the advance working days.

Ask the bank for a written refusal. Without it, the seller can argue that the buyer simply backed out.

Formalities

  1. The agreement must be in writing and signed by both parties, or it is void (CK 6.165(2)).
  2. No notary is needed, though a notary can draft or certify it for a fee. Sign one original per party.
  3. With no deadline set, sign the deed within 1 year. When the deadline passes without a deed, the duty to sign ends (CK 6.165(3) and (5)).
  4. Pay the advance by bank transfer and keep the bank's proof.
  5. If the property is joint property of spouses, both spouses sign.
  6. At the notarial deed, one spouse can sign for both only with a power of attorney from the other certified by a notary.
  7. The sale needs a notarial deed (CK 6.393). Any notary in Lithuania can certify it, and the notary registers the new owner with Registrų centras.

Common mistakes

  • Calling the payment rankpinigiai (earnest money) and expecting double back if the seller backs out. Earnest money cannot secure this agreement (CK 6.98(2)).
  • Leaving out the deadline for the deed, or letting it pass. The duty to sign then ends. Extend it in writing, signed by both, before it expires.
  • No loan condition when part of the price depends on a bank loan. Write that the buyer can end the agreement and get the advance back if the bank refuses.
  • Paying the advance in cash or to an agent without a receipt. Pay by bank transfer to the account named in the agreement and keep the bank's proof.
  • Signing before you read the Real Property Register extract. Check the owner, mortgages, seizures, registered leases and other restrictions.
  • Accepting a later price rise. The agreed price stands unless the agreement sets terms for a change. Otherwise the buyer can refuse to sign at a higher price.
  • Buying a building without settling the land. The deed must state the buyer's rights to the land plot under it, or the notary cannot certify it (CK 6.394(2)).
  • Forgetting people who live in the home. Name all who keep a right to live there after the sale (CK 6.400), or make them move out and deregister before handover.
