Purchase offer template for Italy

Irrevocable offer to purchase a property · Proposta irrevocabile d'acquisto di immobile

The buyer's signed written offer to buy a named property at a stated price, binding on the buyer until a fixed date. If the seller accepts it and the buyer learns of the acceptance, the contract is formed. An accepted offer with full terms already works as a preliminary contract.

Use it after a visit, when you want to buy and want to fix your price and conditions in writing. Agents in Italy usually ask for an offer on their own form. You can use this text instead, or compare the agent's form with it. Sign it only if you are ready to buy on these terms: you cannot withdraw it before the date you set, and the seller's acceptance can bind you as firmly as a preliminary contract.

Reviewed October 28, 2026. Not legal advice. Have a notary or lawyer check your case before you sign.

Rules that are changing

  • From 1 January 2027 the registration tax rules move from DPR n. 131/1986 into the Testo unico dell'imposta di registro (d.lgs. 1 agosto 2025, n. 123). Check the rates and articles then in force.

Formalities

  1. No notary, witness or official form is required.
  2. Sign and date the offer. Give it to the agent or the seller against a dated receipt.
  3. The contract is formed when you learn of the seller's acceptance. The seller must sign the acceptance and send it back to you.
  4. If you give a deposit cheque, make it non-transferable and payable to the seller. The agent holds it until acceptance.
  5. If an agent is involved and the accepted offer has all the terms of a preliminary contract, the agent must register it with the Agenzia delle Entrate.
  6. An offer that is not yet accepted is not registered.

Common mistakes

  • Signing the agent's pre-printed form unread. Once the seller accepts, its clauses on payment dates, deposit and guarantees bind you as a preliminary contract.
  • Leaving out a mortgage condition when you need a loan. If the seller accepts and the bank refuses, you can lose the deposit.
  • Giving a large deposit with the offer. The money is blocked while the seller weighs other offers. The Notariato advises a small deposit and a short validity.
  • Making the deposit cheque payable to the agent, or paying in cash.
  • Not stating that the commission is due only if the deal completes. Under the Civil Code the agent earns it when the deal is concluded, usually at acceptance.
  • Describing the property without its cadastral data. Use the sheet, parcel and sub-unit numbers (foglio, particella, subalterno) from the cadastral record.

Legal basis

  • Codice civile (R.D. 16 marzo 1942, n. 262), art. 1326 (conclusion of the contract on acceptance)
  • Codice civile, art. 1329 (irrevocable offer)
  • Codice civile, art. 1385 (confirmatory deposit)
  • Codice civile, art. 1755 (broker's commission)
  • Disposizioni per l'attuazione del Codice civile (R.D. 30 marzo 1942, n. 318), art. 63, comma 4 (buyer jointly liable for condominium charges of the current and previous year)
