Preliminary sale agreement template for Italy

Preliminary contract of sale · Contratto preliminare di compravendita immobiliare (compromesso)

A written contract in which the seller promises to sell and the buyer promises to buy a property at a fixed price, with a confirmatory deposit and conditions such as the buyer's loan. Ownership passes only later, with the notarial deed. It must be registered within 30 days.

Use it once the price is agreed and the deed cannot be signed at once, for example while the buyer waits for a loan. It replaces or completes the agent's accepted offer form. Ask a notary to review it, and to authenticate and record it when the gap before the deed is long or the deposit is large. Do not use it to buy from a builder a home that is still to be built or finished: the law then requires a notarial deed with a bank or insurance guarantee.

Reviewed October 28, 2026. Not legal advice. Have a notary or lawyer check your case before you sign.

Rules that are changing

  • From 1 January 2027 the registration tax rules move from DPR n. 131/1986 into the Testo unico dell'imposta di registro (d.lgs. 1 agosto 2025, n. 123). Check the rates and articles then in force.

Formalities

  1. Make the contract in writing. The final sale of land must be in writing, so the preliminary contract must be too.
  2. Each party signs every page.
  3. Register the contract with the Agenzia delle Entrate within 30 days of signature. The parties register it, or the agent if one was involved.
  4. The 0.5% tax paid on the deposit or advances is later credited against the tax on the deed.
  5. To record the contract in the land registers (trascrizione), a notary must authenticate the signatures or draw it up as a public deed.
  6. The notary then records it within 30 days. Further fixed taxes apply.
  7. The seller must make the energy performance certificate (APE) available from the start of negotiations.

Common mistakes

  • Not registering the contract within 30 days. Late registration brings penalties, and the Agenzia delle Entrate can claim the tax from either party.
  • Paying a large deposit before the contract is recorded. The seller can still sell to another buyer or grant a mortgage, and you can only claim damages.
  • Calling the payment an advance (acconto) when you mean a deposit (caparra), or the reverse. An advance is not lost or doubled on default.
  • Leaving cadastral and planning checks to the notary at the deed. A floor plan mismatch or unauthorised works can block the deed after you paid the deposit.
  • Signing without copies of each permit from the municipal archive, or a surveyor's sworn statement of lawful state. Building violations follow the property.
  • Signing a private preliminary contract with a builder for a home not yet finished. The law requires a notarial deed and a guarantee for every sum you pay.
  • Forgetting the condominium. Ask the administrator for a statement of paid charges and approved extraordinary works before you sign.
