Purchase offer template for France

Offer to purchase · Offre d'achat

A written, signed offer from the buyer to buy a named property at a stated price, with a validity date and usually a loan condition. If the seller accepts it in writing without changes, the sale is agreed on the property and the price. The parties then sign a compromis or promesse de vente.

Use it after a visit, when you want to buy and want to state your price and conditions in writing. It is not required by law. Send it to the seller or to the estate agent who holds the mandate. Make it only if you are ready to buy at that price: once the seller receives it, you cannot withdraw it before it expires.

Reviewed October 28, 2026. Not legal advice. Have a notary or lawyer check your case before you sign.

Formalities

  1. No form, witness or notary is required. Sign and date the offer.
  2. Send it by registered letter with acknowledgement of receipt (lettre recommandée avec avis de réception) or by email.
  3. You can also hand it to the agent against a dated receipt.
  4. Keep proof of the date the seller received it.
  5. Ask the seller to accept in writing. Silence is not acceptance.

Common mistakes

  • Paying a deposit or a cheque to the seller or the agent with the offer. The law makes such an offer void, and you may struggle to recover the money.
  • Leaving out the validity date. Without one, the offer stays open for a reasonable time that only a judge can fix.
  • Making an offer without a loan condition when you need a loan. If the seller accepts, you are bound at that price.
  • Treating a seller's reply with a new price as acceptance. It is a counter-offer, and nothing is agreed until you accept it.
  • Signing an offer as a buyer who cannot contract alone, for example a minor or a person under guardianship. The offer is not valid.
  • Describing the property loosely. Give the full address, floor, lot numbers and area so the offer matches the property you visited.

Legal basis

  • Code civil, art. 1583 (sale complete on agreement on the thing and the price)
  • Code civil, art. 1589-1 (unilateral commitment to buy with a payment is void)
  • Code civil, art. 1113 to 1122 (offer and acceptance)
  • Code de la construction et de l'habitation, art. L271-1 and L271-2 (10-day withdrawal and ban on payments before it expires)
