Purchase offer template for Cyprus

Offer to purchase · Προσφορά Αγοράς Ακινήτου

A written offer from the buyer to buy a named property at a stated price and on stated conditions, valid until a stated date. No law requires it. Under the Contract Law the buyer can withdraw it until the seller sends an acceptance. This template binds nobody to buy or sell until both sign the contract of sale.

Use it after a viewing, when you want to put your price and conditions in writing to the seller or to the registered estate agent. It fixes the terms that the lawyers then write into the contract of sale. Make the offer subject to your lawyer's checks of the title, the encumbrances and the permits, and to a loan if you need one. If you are not an EU or EEA citizen, also make it subject to the Council of Ministers permit.

Reviewed October 28, 2026. Not legal advice. Have a notary or lawyer check your case before you sign.

Rules that are changing

  • 2026 bills before the House of Representatives would tighten Cap. 109 for buyers from outside the EU. The Land Registry would check compliance before it accepts a sale contract or a transfer.
  • The bills would also count acquisitions through companies such buyers control, and set quantitative and area limits. Check the status before you make an offer.

  2. 2.Description of the property

    1. 2.1

The property is located at Address of the property and consists of Description of the property. Land Registry details: Land Registry details.

Copy the registration details from the title deed or search certificate.

  3. 3.Offered price

    1. 3.1

I offer a price of €Offered price in euros, in figures (Offered price in words euros). The price VAT position.

Ask whether VAT applies before you offer. A new build usually includes VAT. A resale is usually not subject to VAT. With VAT, no transfer fee is due.

    2. 3.2

When the contract of sale is signed I will pay a deposit equal to Deposit at the contract% of the price. The balance will be paid on the terms of the contract of sale and no later than the transfer of the property into my name at the District Land Office.

This is a promise to pay at the contract, not now. The law sets no deposit rate.

  4. 4.Conditions

    1. 4.1

This offer is subject to a check of the property by my lawyer, Buyer's lawyer, with results satisfactory to me, in particular as to the title, encumbrances and prohibitions, planning and building permits, and the existence of a separate title deed.

Name the advocate and the firm who will check the property.

    2. 4.2

      Optional

This offer is also subject to the approval of a loan of up to €Loan amount in euros by a credit institution by Latest date for loan approval.

Delete it only if you pay from your own funds.

    3. 4.3

      Optional

Because I am not a citizen of a member state of the European Union or of a state party to the European Economic Area, the purchase is subject to the grant of a permit by the Council of Ministers under the Acquisition of Immovable Property (Aliens) Law, Cap. 109.

Keep it if any buyer is not an EU or EEA citizen. Delete it otherwise.

  5. 5.Contract of sale

    1. 5.1

If the offer is accepted, the parties' lawyers will prepare a written contract of sale, to be signed no later than Latest date to sign the contract of sale. The Seller will attach to the contract a search certificate of the property, in accordance with section 4(1A) of the Sale of Immovable Property (Specific Performance) Law of 2011, and the contract will be deposited at the competent District Land Office.

    2. 5.2

This offer is made subject to contract. The offer and its acceptance record the main terms of the deal, but neither party is bound to buy or sell until all parties have signed the contract of sale.

Keep this clause. Without it, an accepted offer may be argued to be a binding sale before your lawyer has checked the property.

  6. 6.Validity

    1. 6.1

This offer is valid until Date and time the offer expires. If the Seller's written acceptance has not been sent to me by then, the offer lapses without further notice.

You can still withdraw the offer before this date, as long as the seller has not yet sent the acceptance.

    2. 6.2

A reply that changes the price or any other term of this offer is a counter-offer and not an acceptance.

Formalities

  1. No form, witness, notary or stamp is needed. Documents signed from 1 January 2026 carry no stamp duty.
  2. Sign and date the offer. Send it by email or registered letter, or hand it to the agent against a dated receipt.
  3. The seller accepts by signing the acceptance at the end and sending it back.
  4. Keep proof of the date the seller sends the acceptance.
  5. Pay a reservation fee only to a registered estate agent, against a written receipt that says when the fee is refunded.
  6. For a contract in any other language, the Land Registry needs a sworn translation made in Cyprus.

Common mistakes

  • Paying a reservation fee without a written receipt that says when it is refunded. The law sets no rule for it, so only the receipt protects you.
  • Leaving out the "subject to contract" wording. An accepted offer that states the parties, the property and the price can be argued to be a binding agreement.
  • Giving only the street address. Copy the registration number, sheet and plan and plot number from the title deed, so the offer matches the register.
  • Assuming that a new flat or house has its own title deed. Many do not. Ask the seller, and make the offer subject to your lawyer's check.
  • Dealing with an unregistered estate agent. Ask for the registration number and check it with the Real Estate Agents Registration Council.
  • Making an offer as a buyer from outside the EU without the Cap. 109 permit condition. Without the permit you cannot acquire the property.

Legal basis

  • Contract Law, Cap. 149, ss. 3 to 7 (communication, revocation and acceptance of a proposal)
  • Acquisition of Immovable Property (Aliens) Law, Cap. 109, s. 3 (Council of Ministers permit)
  • Sale of Immovable Property (Specific Performance) Law 81(I)/2011, s. 4(1A) (search certificate in the contract of sale)
  • Stamp Duty (Repealing) Law of 2025, Law 239(I)/2025 (repeal from 1 January 2026)
