Preliminary sale agreement template for Cyprus

Contract of sale of immovable property · Σύμβαση Πώλησης Ακινήτου (Πωλητήριο Έγγραφο)

The binding written contract between seller and buyer that comes before the transfer at the Land Registry. No notary takes part. Once deposited at the District Land Office within 6 months, it creates a charge on the property and lets the buyer ask a court to enforce the sale.

Use it when the price and terms are agreed and your lawyer has checked the title, the encumbrances and the permits. It is the main purchase document in Cyprus: the transfer at the Land Registry later only carries it out. It is essential when the transfer cannot happen at once, for example when the property has no separate title deed yet or the price is paid in instalments. Have a Cyprus advocate draft or review it. This template shows the clauses a sound contract contains for a resale or a completed new build. A developer's off-plan contract needs more terms on construction, delays and the developer's mortgage.

Reviewed October 28, 2026. Not legal advice. Have a notary or lawyer check your case before you sign.

Rules that are changing

  • 2026 bills before the House of Representatives would make the Land Registry check Cap. 109 compliance before it accepts the deposit of a sale contract or a transfer.
  • The bills would treat transactions in breach as void. Buyers from outside the EU should check the status before signing.

Formalities

  1. Make the contract in writing. It must identify the parties and the property, state the price and be signed by all parties.
  2. The law needs no notary, no witnesses and, for contracts signed from 1 January 2026, no stamp duty.
  3. The seller attaches a Land Registry search certificate with encumbrances and prohibitions, dated no more than 5 working days from signature.
  4. Within 6 months of signature, a contracting party or its lawyer deposits it at the property's District Land Office.
  5. The deposit needs the application form, the contract with original signatures, the site plan and, for a unit, floor plans signed by the parties.
  6. The deposit costs €50.
  7. A contract in another language needs a sworn translation made in Cyprus (Law 45(I)/2019).
  8. The transfer happens later at the District Land Office, where the buyer pays the transfer fees.

Common mistakes

  • Missing the 6-month deposit deadline. An undeposited contract creates no charge, and a later deposit needs a court order.
  • Buying a unit in a development without checking the mortgage on the land. Insist on Form A from the lender, or you may pay in full and get no title.
  • Paying the deposit before you have seen the search certificate. Check it for mortgages, prohibitions, memos and deposited contracts.
  • Agreeing a clause that forbids the deposit of the contract. The law makes such a clause void, but a seller who insists on it is a warning sign.
  • Leaving fees and taxes unclear. State who pays the transfer fees, the seller's capital gains tax, the agent's commission and local authority charges.
  • Signing a contract in a language other than Greek or English. The Land Registry will need a sworn translation made in Cyprus before it accepts the deposit.
  • Paying the full price before the title deed exists and the transfer date is fixed. Tie the final payment to the transfer.
