Purchase offer template for Croatia

Offer to purchase · Ponuda za kupnju nekretnine

A written offer from the buyer to buy a named property at a stated price, with conditions and a validity date. The buyer is bound until that date. If the seller accepts it in writing without changes, both parties must sign a preliminary contract or a sale contract on these terms.

Use it after a visit, when you want to fix your price and conditions before anyone drafts a contract. The law does not require it, but estate agents often ask for one. Send it only if you are ready to buy at that price. Once the seller has received it, you cannot withdraw it before it expires.

Reviewed October 28, 2026. Not legal advice. Have a notary or lawyer check your case before you sign.

This is the usual split. The parties can agree otherwise in the contract.

  4. 4.Payment and timetable

    1. 4.1

On signing the preliminary contract, the buyer will pay the seller earnest money of Earnest money (kapara)% of the purchase price, to be credited against the price. The buyer will pay the rest of the price to the seller's account at the same time as the seller hands over the registration consent document (tabularna isprava) that allows the buyer's ownership to be registered.

Paying the balance against the registration consent protects both sides. A notary can hold the document in deposit until payment.

    2. 4.2

The parties will sign the preliminary contract or the sale contract in writing no later than Signing deadline (predugovor or sale). The seller will hand over possession of the property, free of persons and belongings, no later than Latest date for handover of possession.

  5. 5.Conditions

    1. 5.1

The offer is conditional on the seller being registered in the land register as sole owner of the property and on the property being free, at signing of the contract, of any mortgage, easement, notice of litigation or other third-party right, except those the buyer expressly accepts in the contract.

If the seller has a mortgage, the seller's bank must agree to delete it from the sale price. Write that into the contract.

    2. 5.2

      Optional

The offer is conditional on the buyer obtaining approval of a housing loan of up to EUR Loan amount no later than Bank loan approval deadline. If the loan is not approved by that date, the offer lapses and any acceptance does not bind the parties.

Keep this clause if you need a loan. Without it, you are bound to buy even if the bank refuses.

    3. 5.3

Before the contract is signed, the seller will give the buyer a valid energy certificate, the use permit or another act proving that the building is lawful, and confirmations that no reserve fund contributions or utility bills are owed.

The owner must show the energy certificate to a prospective buyer and hand over a copy on sale.

    4. 5.4

      Optional

If the acquisition of ownership requires the consent of the minister responsible for justice, the offer is conditional on that consent being granted.

Keep this clause unless you are a national of an EU member state, Iceland, Liechtenstein, Norway or Switzerland. Without consent the purchase is void.

  6. 6.Validity of the offer

    1. 6.1

This offer binds the buyer until Date the offer expires. If the buyer has not received the seller's written acceptance by that date, the offer lapses.

A short period, such as 7 to 10 days, limits the time you are bound.

    2. 6.2

An acceptance with changes or additions is a refusal of this offer and a new offer by the seller.

    3. 6.3

The buyer pays no earnest money or any other sum with this offer.

  7. 7.Buyer's signature

    1. 7.1

Formalities

  1. No notary, witness or official form is needed.
  2. Sign the offer by hand. Give it to the seller or the agent against a dated receipt, or send it by registered mail.
  3. An exchange of signed letters, or another means that proves the content and the sender, meets the written form.
  4. A sale of real property must be in writing. So an offer to buy one binds only if it is written, and the same applies to the acceptance.
  5. Do not pay earnest money (kapara) with the offer. In Croatian law, money given as kapara marks a concluded contract.
  6. Pay the kapara only when you sign the preliminary contract.

Common mistakes

  • Paying kapara or any deposit with the offer. Kapara marks a concluded contract, and you may lose it if you later decide not to buy.
  • Leaving out the validity date. You then stay bound for an uncertain period that a court may have to fix.
  • Offering without a loan condition when you need a loan. If the seller accepts, you must sign at that price.
  • Describing the property only by its street address. Copy the cadastral municipality, parcel number and land register folio from a current extract.
  • Addressing the offer to one co-owner when the land register shows several. Every registered co-owner must accept.
  • Treating a reply with a new price as acceptance. It is a new offer, and nothing is agreed until you accept it.
  • Making a firm offer without a consent condition as a buyer from outside the EU, the EEA and Switzerland. Without the minister's consent the purchase is void.
  • Offering on a flat in a multi-unit building that is not registered as a separate unit (etažno vlasništvo).
